Terms of Service
Powerlab Works OÜ · Dealer Portal · Last updated 21 October 2026
1. Who we are and who these terms are for
The Dealer Portal at powerlab.works/dealer is operated by Powerlab Works OÜ, an Estonian company ("Powerlab Works", "we", "us"), Sakala 7-2, 10141 Tallinn, Estonia, Estonian VAT number EE102221282. You can reach us at info@powerlab.works.
The portal is for businesses and professionals in the vehicle trade ("you", "the dealer"). It is not offered to consumers. By creating an account you confirm that you are acting for your business or profession.
2. Your account
- You must give accurate and complete details (name, company, address, country, phone, e-mail and, if you have one, your VAT number) and keep them up to date. Your country and VAT number decide whether VAT is charged (see section 4).
- Keep your password secret. You are responsible for everything done through your account.
- We may suspend or close an account that gives false details, abuses the portal or breaks these terms.
3. The service
- You upload the original ECU file read from a vehicle and choose the services you want. We modify the file and make the result available for download in the portal.
- Retention of files. Uploaded original files and result files are kept for 2 years from the date of the request and are then permanently deleted. Files older than 2 years are not kept and cannot be downloaded again, so please keep your own copies. The record of the order (number, date, services, price and payment) is kept for accounting purposes (see section 4 and the Privacy Policy).
- Turnaround times we mention are estimates, not guarantees.
- We may reject a file, for example if it is unreadable, incomplete or does not match the vehicle details, or if we cannot make the requested modification safely. A rejected file is not charged. If you have already paid for it, the price of that file is refunded.
- Always keep a copy of the original data you read from the vehicle before writing any file to it.
4. Prices, VAT and payment
- Prices are in euros (EUR) and are shown before VAT. The price of a file is shown before you pay and cannot change after payment.
- VAT. Customers in Estonia are charged Estonian VAT (currently 24%). Customers in another EU country are charged VAT at the Estonian rate unless they give a valid VAT number, which we check in the EU VIES system; with a valid number no VAT is charged. Customers outside the EU are not charged VAT. If we cannot determine your country or verify your VAT number, we may ask you to correct your details before you can pay. The VAT treatment is shown on your invoice.
- Pay per file (card, Alipay, PayPal). Customers who register through the portal pay for each file online. We process your file first. When it is ready, you pay securely on the payment provider's site (Stripe for cards, Alipay and local payment methods; or PayPal), after which the download is unlocked. We do not receive your card, Alipay or PayPal login details. We bear the payment fees; they are not added to your price.
- Bank transfer. Instead of PayPal you can pay a ready file by bank transfer to our account at LHV Pank. The portal shows the amount, our IBAN and the payment reference. The download is unlocked after the money has arrived and we have confirmed it. Bank charges are paid by the sender.
- Monthly account. Customers with an agreed monthly account are billed at the end of each month for the files delivered, and pay by the agreed method and due date.
- Invoices are issued by Powerlab Works OÜ for each payment or each month.
5. Licence and use of the result file
- You keep the rights to your original file. The modified file and the tuning work in it remain our intellectual property. After you pay (or after the month is billed), you receive a non-exclusive right to use the result file on the one vehicle it was made for.
- You must not resell, share, publish or copy the result file for use on other vehicles, or try to reverse-engineer our modifications.
6. Your responsibilities and legal compliance
- You are responsible for giving correct vehicle and ECU details and for choosing services that are permitted for the vehicle and its use in your country.
- Rules on emissions, type approval, road use, insurance and manufacturer warranty differ from country to country. You are responsible for making sure that using our files complies with them, and for informing your own customers about the effects of tuning.
- Writing a file to an ECU carries technical risk, including the risk of damaging the control unit if the procedure or tool is not suitable or is interrupted. Use professional tools and procedures.
7. If a file does not work as agreed
If a result file does not do what was agreed, tell us promptly through the portal's Support page or by e-mail, with the file number and a description. We recommend doing this within 14 days of delivery. We will review it and correct the file at no extra charge or, if we cannot correct it, refund the price paid for that file. Because each file is custom work delivered digitally, we do not refund files that work as agreed.
8. Liability
- Nothing in these terms limits liability that cannot be limited by law.
- Otherwise, our total liability for any one file is limited to the price you paid for that file, and we are not liable for indirect or consequential losses such as lost profit, loss of use of a vehicle, towing, or claims by your own customers.
- We are not responsible for damage caused by incorrect vehicle details, unsuitable tools or procedures, or use of a file that is not permitted where the vehicle is used.
9. Personal data
How we handle personal data is described in our Privacy Policy.
10. Changes and ending the agreement
We may update these terms and will show the new version here with its date. If you keep using the portal after a change, the new terms apply to files you send from then on. You can ask us to close your account at any time; records we must keep by law (see the Privacy Policy) are kept.
11. Governing law
These terms and any dispute connected with them are governed by the laws of Estonia, and the courts of Estonia have jurisdiction, unless mandatory law says otherwise.
